{"id":115,"date":"2009-05-05T13:57:00","date_gmt":"2009-05-05T13:57:00","guid":{"rendered":"http:\/\/www.vivirenalcorcon.com\/nueva-web\/blog\/2009\/05\/05\/el-alquiler-con-opcion-a-compra-2\/"},"modified":"2015-10-19T10:23:21","modified_gmt":"2015-10-19T10:23:21","slug":"el-alquiler-con-opcion-a-compra-2","status":"publish","type":"post","link":"https:\/\/www.nuevomilenio-inmo.com\/blog\/el-alquiler-con-opcion-a-compra-2\/","title":{"rendered":"El Alquiler con Opci\u00f3n a Compra"},"content":{"rendered":"<p>Si algo ha suscitado el inter\u00e9s de propietarios y demandantes en estos tiempos dif\u00edciles ha sido el Alquiler con Opci\u00f3n a Compra (AOC). Por momentos pareciera que hubiese venido a salvarnos a todos de la crisis del sector como el nuevo man\u00e1\u2026pero\u2026\u00bfrealmente sabemos de qu\u00e9 se trata?<\/p>\n<p>\u00bfQu\u00e9 es el AOC?<br \/>Para empezar estamos hablando de una figura jur\u00eddicamente \u201cno regulada\u201d, es decir <strong>no existe legislaci\u00f3n que la contemple y por tanto se basa m\u00e1s en los conceptos b\u00e1sicos que todo el mundo entiende y en el libre pacto de las partes.<\/strong> El AOC es sencillamente un alquiler en el que \u201cadicionalmente\u201d se pacta un acuerdo, complementario o accesorio, de opci\u00f3n de compra. Y la diferencia entre complementario o accesorio es importante, puesto que si es complementario se entiende como una condici\u00f3n o cl\u00e1usula m\u00e1s del contrato de alquiler, mientras que si es accesorio se trata m\u00e1s de una opci\u00f3n voluntaria y no vinculante. En cualquier caso siempre consiste en establecer un precio de compraventa, con un plazo m\u00e1ximo para ejercerla y que, o bien todo o bien s\u00f3lo una parte de lo abonado en concepto de alquiler sea considerado como entrega a cuenta de la futura compra.<\/p>\n<p>Tipos de AOC<br \/>Seg\u00fan mi propia experiencia distingo <strong>dos tipos de AOC: el de viviendas de segunda mano (AOCs) y el de obra nueva directo del promotor (AOCp).<\/strong> El AOCs se basa habitualmente en viviendas que, estando en venta, ofrecen esta opci\u00f3n como v\u00eda alternativa temporal para casos donde mantenerla sin vender o alquilarla sin m\u00e1s, no es la soluci\u00f3n para el propietario. En este caso hemos de considerar que el inter\u00e9s fundamental del propietario es la venta a corto plazo y que s\u00f3lo se plantea el AOC como veh\u00edculo que le conduzca a su objetivo \u00fanico \u201cla venta\u201d de la que adem\u00e1s, en muchos casos, se trata de su vivienda habitual. Por tanto es muy frecuente que los plazos m\u00e1ximos para ejercer la compra sean inferiores a dos a\u00f1os, que la cantidad a descontar de la renta de alquiler no supere en ocasiones el 50% y que adem\u00e1s se pida una cantidad peque\u00f1a en concepto de se\u00f1al y Arras (entre el 1 y el 3% del precio de venta) que \u201cayude a disuadir\u201d a la demanda menos comprometida a comprar en el futuro y, por qu\u00e9 no, que tambi\u00e9n favorezca el cumplimiento mutuo de la opci\u00f3n de compra. Aqu\u00ed es donde entiendo que la opci\u00f3n de compra complementa o incluso condiciona el contrato de alquiler.<\/p>\n<p>Por otro lado el AOCp trata fundamentalmente de dar salida a un stock de viviendas nuevas invendidas, su titular es una empresa inmobiliaria que tiene un alto coste contable por mantener esas viviendas en propiedad y vac\u00edas, que tiene objetivos generalmente m\u00e1s a medio plazo y que adem\u00e1s tampoco esta vendiendo su vivienda habitual. Esto sin duda hace que, en t\u00e9rminos generales, el AOCp sea m\u00e1s flexible, que no sea muy frecuente pedir se\u00f1al y Arras, y que el plazo m\u00e1ximo para ejercer la opci\u00f3n a veces se puede extender durante la totalidad de la duraci\u00f3n del contrato de arrendamiento (hasta 5 a\u00f1os), aunque, en contraste, su renta mensual puede ser m\u00e1s alta y esta condicionado por su fiscalidad (p.e. IVA, o deducciones IRPF). Y aqu\u00ed es donde entiendo que la opci\u00f3n de compra es m\u00e1s accesoria, es decir, que no necesariamente condicionar\u00e1 el contrato de alquiler, si no que m\u00e1s bien s\u00f3lo lo incentiva.<\/p>\n<p>Pero dicho lo anterior he de matizar nuevamente que el AOC se basa m\u00e1s en el libre pacto de las partes y \u00e9ste a su vez lo har\u00e1 en los intereses y necesidades de cada caso particular, partiendo, como es l\u00f3gico, de la propuesta inicial que haga el ofertante (habitualmente el propietario).<\/p>\n<p>Nuestra experiencia con el AOCs (segunda mano) en los \u00faltimos dos a\u00f1os, muestra unos resultados poco alentadores, en otras palabras, que la teor\u00eda es una cosa y la pr\u00e1ctica otra, y que cerrar acuerdos satisfactorios para ambas partes es muy complicado, aunque no imposible. Adem\u00e1s no conviene olvidar que <strong>el inter\u00e9s por el AOC ha surgido con fuerza s\u00f3lo en plena crisis de ventas y que, probablemente, \u00e9ste acabar\u00e1 diluy\u00e9ndose
